Supervisory Board

Responsibilities

ASML's Supervisory Board supervises ASML's Board of Management, the general course of affairs and business of ASML. This includes supervision of (I) achievement of the Company’s objectives, (II) corporate strategy and risk inherent to the business activities, (III) the structure and operation of the internal risk management and control systems, (IV) the financial reporting process and (V) compliance with applicable rules and regulations.
The Supervisory Board also provides the Board of Management with advice relating to the Board of Management's management of the business of ASML.

The members of the Supervisory Board perform their duties independently.

Meetings of the Supervisory Board are held in accordance with a meeting schedule determined for the full financial year.

The Rules of Procedure of the Supervisory Board also contain rules regarding securities trading.
